UNcivilized Private Coaching is owned and operated by UNcivilized, Inc. These terms and conditions govern your use of our coaching services and constitute a legal agreement between you (“Client”) and UNcivilized, Inc. (“Coach”).

Please read this agreement carefully. You are encouraged to seek independent legal advice if you have any questions of a legal nature before signing.

1. Coach–Client Relationship

• Ethics: Coach agrees to uphold the ethical standards of the International Coaching Federation (ICF) Code of Ethics.
• Responsibility: The Client understands that they are solely responsible for their own physical, mental, and emotional well-being, decisions, choices, and results arising from this coaching relationship.
• Not Therapy: Coaching is not therapy or medical treatment, and does not prevent, cure, or treat any mental health or medical condition.
• Termination: The Client may terminate coaching at any time; however, all fees paid are non-refundable.
• Scope: Coaching may involve many areas of life (career, health, relationships, etc.), but implementation and results remain the Client’s responsibility.
• Referrals: Coaching does not replace counseling, psychotherapy, or medical care. Clients currently under professional care should inform their providers about participation in coaching.
• Engagement: The Client agrees to communicate honestly, remain open to feedback, and participate fully in the program.

2. Schedule and Services

• The Client and Coach agree to engage in a coaching program as outlined in the purchase agreement, consisting of sessions conducted via Kajabi Live, Zoom, phone, or in person as mutually scheduled.
• The Coach will be available between sessions via email, voicemail, or text as appropriate.
• Definition of Services:
  Private coaching focuses on helping clients achieve self-identified goals, enhance performance, and find personal fulfillment. Coaching services are educational and guidance-based, not clinical or diagnostic.
• The Coach may recommend professional counseling or medical care if needed. The Client agrees to disclose any relevant mental health conditions so the Coach can provide appropriate support.

3. Fees

• The coaching program begins upon payment as outlined in the Client’s payment schedule.
• All fees are non-refundable. Missed or late payments may result in forfeited sessions until payment is made.

4. Procedure

• Session times and locations will be scheduled by mutual agreement.
• Kajabi Live, Zoom, or phone sessions will be initiated by the Coach at the agreed-upon time.

5. Confidentiality

• All information shared between the Client and Coach is confidential. However, please note:
• Coaching is not protected under legal privilege (unlike doctor–patient or attorney–client relationships).

Confidentiality may be broken only if:

• Required by law or subpoena,
• The Coach reasonably believes there is imminent risk of harm to the Client or others, or
• There is disclosure of illegal activity or suspected child abuse/neglect (in accordance with Colorado law).
• The Coach may share limited, relevant details internally with the UNcivilized executive team to support the coaching process.

6. Cancellation Policy

Clients must provide at least 24 hours’ notice for rescheduling or cancellation. Missed sessions without notice may be billed in full.

7. Record Retention

Coaching records may be maintained (in print or digital form) for a minimum of five years and are subject to the confidentiality terms above.

8. Termination

• Either party may terminate the agreement with one week’s written notice.
• Fees already paid remain non-refundable, and any outstanding fees for services rendered must be paid in full.

9. Limited Liability

The Coach makes no guarantees or warranties, express or implied. The Coach’s total liability shall be limited to the amount paid by the Client for coaching services.

10. Entire Agreement

This document constitutes the entire agreement between Coach and Client, superseding all prior discussions or understandings. Any changes must be made in writing and signed by both parties.

11. Dispute Resolution

If a dispute arises, both parties agree to first attempt mediation in good faith for up to 30 days. If unresolved, the prevailing party in any legal action shall be entitled to recover reasonable attorney’s fees and court costs.

12. Severability

If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall continue in full force.

13. Waiver

Failure to enforce any provision does not constitute a waiver of future rights to enforce that provision.

14. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Colorado, USA.

15. Binding Effect

This agreement is binding upon both parties and their respective successors and assigns.
